Terms of Service
These Terms of Service (“Terms”) govern your use of RiffInit (the “Service”), operated by 10hi.tech (“we”, “us”, “our”). By accessing or using the Service, and in particular by uploading any audio file, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
RiffInit lets you upload an audio file that you provide and uses automated source-separation technology to split it into instrument and vocal stems, which you can recombine and download. We do not provide, host, or supply a catalog of music. All audio processed by the Service is supplied by you.
2. Your Content and Your Responsibilities
“Your Content” means any audio file you upload. You are solely responsible for Your Content. By uploading Your Content, you represent and warrant that:
- you own Your Content, or you hold all rights, licenses, consents, and permissions necessary to upload it and to have it processed by the Service;
- your upload and use of the resulting output does not and will not infringe or violate the copyright, trademark, contract, privacy, publicity, or other rights of any third party; and
- you will use the Service and any output only for lawful purposes and in compliance with these Terms and all applicable laws.
You must not upload content you are not authorized to upload. The Service is a tool; you — not we — determine what to upload and are responsible for that choice.
3. License You Grant Us
Solely to operate the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to store, process, transmit, and transform Your Content for the purpose of providing the separation and mixing features to you. This license exists only for as long as we retain Your Content (see Section 8) and for no other purpose. We claim no ownership of Your Content or of the output you generate.
4. Prohibited Uses
You agree not to: (a) upload content you lack the rights to; (b) use the Service to infringe intellectual property or other rights; (c) attempt to circumvent usage limits, security, or payment; (d) abuse, overload, or disrupt the Service or its infrastructure; or (e) use the Service in violation of any applicable law.
5. Copyright and Takedown (DMCA)
We respect intellectual-property rights. If you believe content processed through the Service infringes your copyright, send a notice to [email protected] including: your contact information; a description of the work; identification of the allegedly infringing material; a statement of good-faith belief; a statement, under penalty of perjury, that the information is accurate and that you are authorized to act; and your signature. We will respond to valid notices and may remove content and terminate repeat infringers.
6. Payments
Certain features (such as downloading a full-length mix) may require payment. Prices are shown before purchase. Because outputs are generated on demand from files you supply, all sales are final except as required by law. (Payment features may not be enabled in all versions of the Service.)
7. Disclaimers
THE SERVICE AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Automated separation is imperfect; we do not warrant any particular quality, accuracy, or result. We do not warrant that the Service will be uninterrupted, secure, or error-free.
8. Data and Retention
We process Your Content only to provide the Service. Uploaded files and generated stems are stored transiently and automatically deleted within a short period (a few hours), except that a file you purchase may be retained for a limited window (up to 30 days) so you can re-download it. 9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 3 MONTHS BEFORE THE CLAIM OR USD 50.
10. Indemnification
You agree to indemnify, defend, and hold harmless us and our officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) Your Content; (b) your use of the Service or any output; or (c) your breach of these Terms or of any law or third-party right.
11. Suspension and Termination
We may suspend or terminate access to the Service at any time, with or without notice, including for suspected violation of these Terms.
12. Changes
We may modify the Service or these Terms at any time. Material changes take effect when we post the updated Terms. Your continued use after changes constitutes acceptance.
13. Governing Law
These Terms are governed by the laws of Germany, without regard to conflict-of-law principles. The courts located in Germany will have exclusive jurisdiction, to the extent permitted by applicable law.
